The Parties agree that the status quo is unacceptable and that the Bangsamoro shall be established to replace the Autonomous Region in Muslim Mindanao (ARMM). Working with other groups and sectors, the two parties shall ensure the establishment of a new Bangsamoro political entity that will protect individual and collective rights, and be truly democratic, representative of the diversity of the populace, and accountable to the communities therein. Senator and former judge Miriam Defensor Santiago, along with many columnists and commentators, are saying so in the week after the much-celebrated signing of the Comprehensive Agreement on the Bangsamoro on March 27 in Malacanang Palace. Among issues being raised are the creation of a Bangsamoro “substate” which could secede from the republic, and the exclusive grant of police and other powers to the envisioned entity which the Constitution reserves for the national government. Moreover, there is the express assurance that Bamgsamoro would be created, as seen in the above-quoted provisions of the Framework Agreement on the Bangsamoro (FAB) and the Comprehensive Agreement on the Bangsamoro (CAB). This despite the inability of the Executive branch, which is the only government entity covered by the agreement, to pass the law needed to abolish and replace the ARMM. These legal challenges in implementing the CAB, the FAB, and its four annexes and one addendum, is the subject of the coming Special Report by the Center for Strategy, Enterprise & Intelligence (CenSEI) to be published next week. Complimentary copies of the full report may be ordered at report@censeisolutions.com. Running more than 200 pages, including texts of all the Bangsamoro accords and annexes, the CenSEI study, titled Will The Bangsamoro Agreement Work?, also analyzes political issues to be addressed in implementing the pact. There are also chapters on the history of Muslim insurgency and the peace process in Mindanao, and the interests and involvement of foreign nations and international institutions in the pact. Lastly, the final article poses the question: Will the Bangsamoro Agreement help solve Mindanao’s big problems? Plainly, if the deal doesn’t do much to alleviate the worst poverty in the country, the proliferation of private armies and criminal groups, including the Abu Sayaff; the endemic corruption and inefficiency in local governance, and woeful lack of infrastructure, then it would be difficult for peace to take root and flourish. Excerpts of the report will run in this column next week. If so, that would be against the Constitution. As Senator Santiago said in her recent speech to Gordon College graduates in Olongapo, “the Executive branch had no power to bind the two other branches—Legislative and Judicial. And some critics argue that government negotiators representing President Benigno Aquino 3rd may have indeed made commitments beyond what the Executive is empowered to do by agreeing with the Moro Islamic Liberation Front (MILF) that “the Bangsamoro shall be established” and “the two parties shall ensure the establishment of a new Bangsamoro political entity. The same issue of the Executive making commitments beyond its constitutional power led to the 2008 Supreme Court decision striking down the Arroyo administration’s Memorandum of Agreement on the Ancestral Domain Aspect of the GRP-MILF Tripoli Agreement on Peace of 2001 (MOA-AD). In that decision, certain provisions in the MOA-AD were deemed to be not in agreement with the Constitution and, therefore, would require charter amendments for them to be implemented. Among these provisions are the “associative” relationship between the national government and the Bangsamoro Juridical Entity envisioned in the Memorandum, and the powers to be accorded to the BJE. “Paragraph 7 on Governance of the MOA-AD states, however, that all provisions thereof which cannot be reconciled with the present Constitution and laws “shall come into force upon signing of a Comprehensive Compact and upon effecting the necessary changes to the legal framework.” . . . “Plainly, stipulation-paragraph 7 on GOVERNANCE is inconsistent with the limits of the President’s authority to propose constitutional amendments, it being a virtual guarantee that the Constitution and the laws of the Republic of the Philippines will certainly be adjusted to conform to all the ‘consensus points’ found in the MOA-AD. Hence, it must be struck down as unconstitutional. While some lawyers may read the phrase “upon effecting the necessary changes to the legal framework” as a condition for implementing the agreement, the 9-6 majority decision, however, saw the phrase as a term or commitment acceded to by the government and thus, “a virtual guarantee” of needed changes in legislation — which the Executive branch did have the power to deliver. To make its ruling even clearer, the High Court cited the language of the 1996 peace accord with the Moro National Liberation Front: “While the MOA-AD virtually guarantees that the ‘necessary changes to the legal framework’ will be put in place, the GRP-MNLF final peace agreement states thus: ‘Accordingly, these provisions shall be recommended by the GRP to Congress for incorporation in the amendatory or repealing law. A full analysis of this legal issue as it pertains to the MILF accord is set forth in the first and main chapter of the CenSEI report on the Bangsamoro Agreement. Certainly, there are categorical statements like the ones quoted at the start of this article, in the FAB and its annexes, which may lead some legal minds to conclude that the Executive went beyond its constitutional authority in agreeing to those provisions. On the other hand, there are also specific references especially in the annexes outlining legislative and electoral processes mandated in the Constitution and other laws. Among them are the mandates for the Bangsamoro Transition Commission envision in the FAB to draft constitutional amendments, if required, and for the President to submit to Congress the draft Basic Law establishing Bangsamoro. These provisions could be cited as acknowledging the constitutional prerogatives of both Congress and the electorate in implementing the pact. Of course, there is no guarantee how the Supreme Court would rule on the issue, already the subject of at least three petitions against the Framework Agreement. Plainly, the march to lasting peace is far from over. (Part 2 on the legal and political issues in the Bangsamoro Agreement will be published on Monday. Follow TireBusiness. With Goodyear in wings, Mich. Michigan International Speedway turned loose it's jey dryer to help clear the track for next week's NASCAR tire test by Goodyear. BROOKLYN, Mich. (April 3 2014) — Michigan International Speedway (MIS) is giving record snow the boot this week as the track prepares for next week’s Goodyear tire test for NASCAR. More than 80 inches of snow has fallen at MIS, in Brooklyn, this year. And with just a week to go before NASCAR’s fastest track opens its gates for Goodyear on April 8-9, it was time to call in the big guns to melt ice and snow from the pavement. Track maintenance crews used old-fashioned know-how March 31, enlisting the help of jet dryers to melt snow drifts and sheets of ice on some areas of the racing surface. The ice was several feet thick in some places, especially in shaded areas of the track. While temperatures are expected to be warmer this week and next, it was important to get a jump on melting the ice before cars test. The jet dryer was first used in the early-70s to melt snow at MIS. It evolved to eventually be the primary means NASCAR used to dry racetracks after rain-delays. Today, jet dryers have been replaced by NASCAR’s innovative Air Titan technology. MIS President Roger Curtis said he expects all the snow and ice will be gone by next week. Researchers have produced "living" materials by nudging E. coli bacteria (oblong object) to grow biological films that contain a special type of protein called curli fibers (blue lines). The team also modified these proteins to make inorganic materials, such as gold nanoparticles (gold) and quantum dots (green and red dots), to grow on the biofilms. Researchers have produced "living" materials by nudging bacteria to grow biological films. In turn, this process could lead to the development of more complex and interactive structures programmed to self-assemble into specific patterns, such as those used on solar cells and diagnostic sensors, and even self-healing materials that could sense damage and repair it, a new study finds. "In contrast to materials we use in modern life, which are all dead, living materials have the ability to self-heal, adapt to the environment, form into complex patterns and shapes, and generate new functional materials and devices from the bottom up," said study lead author Timothy Lu, a biological engineer at the Massachusetts Institute of Technology. Such "living materials" are essentially hybrids that have the best of both worlds: the benefits of both living cells, which can organize and grow on their own, and nonliving materials, which add functions such as electricity conduction or light emission. For instance, other researchers have looked at the possibility of organizing viruses into new materials. But Lu said his team's approach is different. "Previous systems do not leverage the characteristics of living organisms," he told Live Science. "Also, most modern materials' synthesis processes are energy-intensive, human-intensive endeavors. But we're suggesting to use biology to grow materials from the bottom up in an environmentally friendly fashion. To create the materials, Lu's team took inspiration from natural materials, such as bone and teeth, which contain a mix of minerals and living cells. Bones grow when cells arrange themselves into specific patterns and then excrete special proteins to produce the calcium phosphate structures. Lu's team tried to do the same by reprogramming Escherichia colibacterial cells using genetic engineering to produce the proteins. E. colinaturally produce biofilms that contain a special type of protein called curli fibers that help the bacteria attach to surfaces, and are known to have the strength of steel. Each curli fiber is composed of a chain of identical protein units called CsgA, which can be changed by adding protein fragments called peptides. These peptides can capture nonliving materials, such as gold nanoparticles, and incorporate them into the biofilms. The researchers' goal was to get the bacteria to secrete the protein matrix in response to specific stimulants. To do so, the researchers disabled the bacterial cells' natural ability to produce CsgA and replaced it with an engineered genetic code that produces CsgA proteins only under certain conditions — when a molecule called AHL is present. The scientists could then adjust the amount of AHL in the cells' environment, and when AHL was present, the cells produced CsgA, making curli fibers that merged into a biofilm. The team then modified E. coli in a different way, to make it produce CsgA with a specific peptide with many histidine amino acids, but only when a molecule called aTc was present. "This allowed us to control the materials that were made by the bacteria using external signals," said Lu. Just by increasing or decreasing the amount of AHL and aTc in the modified E. coli's environment, they were able to modify the production and composition of the resulting biofilms. The team then modified the proteins to make inorganic materials, such as gold nanoparticlesand quantum dots, to grow on the biofilms. By doing so, the researchers engineered self-growing E. coli biofilms that could conduct electricity or emit fluorescence. The researchers also modified E. coli so the cells could "talk" to each other and coordinate the formation of materials whose properties change over time, without requiring human input. "Ultimately, we hope to emulate how natural systems, like bone, form. No one tells bone what to do, but it generates a material in response to environmental signals," Lu said. "One can imagine growing materials using sunlight rather than needing to have very energy-intensive processes for top-down materials' synthesis," he added. Lu also envisions living cellular sensors that change their properties when they detect specific environmental signals, such as toxins. Finally, by coating the biofilms with enzymes that catalyze the breakdown of cellulose, this work could lead to materials that convert agricultural waste into biofuels. The research is not limited to E. coli. "We are considering the use of photosynthetic organisms and fungi as other fabrication platforms," Lu said. "In addition, we have only demonstrated the interface of biology with gold and semiconductor nanocrystals, but there are many other materials that can be interfaced. Ahmad Khalil, a biomedical engineer at Boston University who was not involved in the study, applauded the work. "This work presents, to my knowledge, one of the first demonstrations of using synthetic biology approaches to rewire or engineer these cellular mechanisms to precisely control how inorganic materials are assembled or synthesized on a molecular bio-template, thus providing an avenue for genetically encoded materials engineering," Khalil told Live Science. Hopefully, in as close to that particular voice as possible! We can only dream. I briefly checked this out in game, and it appears that the highest threshold for the Master Looter setting is epic quality. So yes, you could set it to epic and assign the shards to yourself, but you'd also have to assign every other piece of epic loot while you were at it. Blue and green items would be normal roll, however. Maybe I'm mistaken and have to pay more attention to the quest line, but I could've sworn (spoiler, maybe?) half of the Klaxxi Paragons die in the assault outside of Heart of Fear. But two tiers later, we find them in Orgrimmar. You're mistaken -- Malik was the only paragon to die in that assault. There's also a sha-corrupt paragon you kill earlier in the Klaxxi quest lines. The rest of the paragons escaped unscathed, only to be murdered during the Siege. I honestly don't know the answer to that one. I hope so! Those loot cards were ridiculously fun. Sure, you had to buy TCG packs if you wanted a chance at getting them, but they didn't really do anything to enhance your character, they were just fun little toys. Mind you, Mists has been full of fun little toys, so maybe they're just planning to keep those items in the game itself from now on. Your average run of the mill grunt isn't likely to know everything there is to know about the history of the Horde, but they've likely got at least a general idea about all of it. They know why their skin is green, they know about Grom Hellscream's sacrifice during the Third War, they know about the internment camps. There are still orcs out there that are old enough to remember the First War, and even Draenor. Thrall definitely knew a lot about what went on on Draenor, he was the narrator for Rise of the Horde -- Drek'Thar apparently filled him in on all that history. Medivh is definitely known about, since he's the subject of a Caverns of Time instance that clearly shows him opening the Dark Portal. I'd say most orcs have at least some knowledge of what happened, but the depth of their knowledge probably varies depending on their station -- as I said, a run of the mill grunt isn't really likely to have a vested interest in learning history. Someone of higher rank, they might be in a position to learn more, or want to learn more. I really hope they use medivh in the WoD story lines. I love Medivh. I would absolutely love it if he made another appearance at some point. But I don't think he will in Warlords -- the timelines don't really come together. We're going back to a point before the Horde was fully corrupted by the Burning Legion, long before the Dark Portal was opened, and it's been stated we won't be dealing with "alternate reality Azeroth" at all. That said, I wouldn't be surprised to see Kil'jaeden make an appearance, as the orcs were his personal pet project, and I doubt he's happy that project slipped out of his hands. This is going to be a pretty boring answer, but I assume they taste like some sort of breakfast pastry, or just plain old bread. The name doesn't mean they're some sort of special mana flavor, it just indicates they were made with mana -- created by a mage. But if you want you can pretend they crackle in your mouth like Pop Rocks when you eat them. Because that would be pretty weird and cool. I'm not sure! Noblegarden is a pretty fun event, that's not the issue. It's that people have been doing that pretty fun event for several years now, so it's just a bit repetitive now. There's a limit on how complex you can really make holidays in WoW -- sure, they're fun, but the content is only out there and playable a short time out of the year, whereas something like a dungeon or a raid is out there and playable year-round. That said, in Warcraft III there was a scenario map called Funny Bunny's Easter Egg Hunt that was pretty cool. It had kind of the same concept -- you collected eggs, but you went to a place called Bunny Island to do it, and there were gangs of evil bunnies that would try and stop you. Now, obviously this was a Warcraft III thing, but I don't know -- it might be kind of fun to see that portion of the event come to Azeroth, complete with evil bunny mini-boss that dropped cool stuff like transmog items or the like. ... really I just like Warcraft III. Not only can the researchers make the mitochondria fluoresce, to glow for the microscope, but they can discern from that fluorescence the mitochondria’s age, their health, even their stress level. And ultimately that glow, in its soft reds and greens, will shed light on human health and a massive array of illnesses, from diabetes to Parkinson’s disease to cancer. “Mitochondrial health is important for physiology and disease. That is well known. However, the whole field of mitochondrial health is largely unexplored, in large part because of the lack of useful tools. This has hindered the understanding of the importance of mitochondria in disease development,” said UVA researcher Zhen Yan, PhD, of the UVA Cardiovascular Research Center. “With this study we have, for the first time, shown that we can use a reporter gene to measure mitochondrial health robustly in vivo. We believe this tool will allow us to get into the field of mitochondrial biology like never before. “Before, we could see the mitochondria under an electron microscope. That showed us only what they looked like,” Yan said. “Now we can measure the health of millions of mitochondria at the click of a button. Yan and his team based the new tool on a reporter gene, a type of gene used in scientific research to determine the activity and function of other genes. The reporter gene produces a protein that glows green when newly made; the protein then transitions to red as it ages. By giving the reporter gene specific targeting directions, the UVA researchers were able to instruct the protein to enter the mitochondria, setting them aglow. “So now we have fluorescent mitochondria, which are fluorescent green initially and then, as the mitochondria age or become oxidized, they transition to red, so that we can assess the oxidation status,” said Rhianna Laker, PhD, a postdoctoral fellow in Yan’s lab and the lead author of a new paper detailing the work. The researchers have put their tool to the test in flies, worms and mice. They found that mice fed a high-fat diet had more red mitochondria, meaning the mitochondria were stressed or oxidized, while mice that exercised had more green mitochondria, Laker said. That finding speaks both to the importance of exercise and to the potential diagnostic power of the new tool, dubbed the MitoTimer. Taking advantage of the wide-ranging expertise at the School of Medicine, Yan’s lab collaborated with Jeff Saucerman, PhD, of the Department of Biomedical Engineering, to take the work to the next level. Saucerman’s team has developed a computer program that can analyze the degree of mitochondrial fluorescence to assess both individual mitochondria and the overall ratio of red to green in a particular area. That ratio speaks to the health of the cells. “The mitochondria are both the powerhouse of the cell and a sensor of metabolic state and stress,” Yan said. The findings have been published online in the Journal of Biological Chemistry and will appear in a forthcoming print edition. The article was authored by Laker, Peng Xu, Karen A. A long position provides approximately a 99% chance of 20% return or higher. PINC is the strongest performer in generating economic value, relative to peer set. Investors have a rare opportunity to get in early before the market prices in the company’s strong economic position. Premier, Inc. (PINC or "the company") operates as a healthcare alliance that unites hospitals, health systems, physicians, and other healthcare providers in the United States. Based on our Economic Value model and Monte Carlo simulation, our probability distribution of "fair value" for PINC affirms that the intraday share price of $32.32 is undervalued (as of 4/2/2014). The estimated expected value of the share price based on the mean and median is $47.12 to $47.01, respectively (Table 1). Due to the company's limited history as a publicly traded company, we took a fairly conservative outlook relative to its most recent performance and its peer set. However, despite a deliberate pessimistic forecast, the company's stock price shows significant upside potential (Figure 1). Long: approximately 99% chance of 20% Return or Higher. 0% chance of a loss. Short: approximately 0% chance of 20% Return or Higher. 100% chance of a loss. PINC initially came to our attention through our Economic Value ranking (Table 3). Not only does the company impressively generate the most Economic Value in absolute dollars, it also ranks the highest after adjusting for both size in Capital (27.2%) and Revenue (15.9%). (Table 4) Although Revenue Growth is about near the median (5.3%), PINC's Economic Value has been driven by its exceptional ability to generate a high Return on Capital (35.7%). (Table 5) The company's high Return on Capital is a function of impressive NOPAT Margin (20.9%) and respectable Capital Turns (1.71x). However, despite the company's exceptional ability to create value, market expectations still lag. We presume that limited investor recognition is the culprit, given that PINC only became public in September of 2013. Market expectation can be observed through Market Value Added (MVA), which is the Market Value (Debt plus Market Value of Equity) less the Capital invested, and represents shareholders' expectations of the future stream of Economic Value or Discounted Cash Flow (DCF) after deducting the capital invested. Mathematically the Net Present Value of a DCF is always equal to the Present Value of Economic Value. Consequently, we can calculate the Implied Economic Value Growth in MVA (Table 6) embedded in the current share price. PINC's Implied Economic Value Growth in MVA is approximately -50.1%, which is at the low end relative to peers. The good news is that it will take very little for the company to exceed market expectations. Note: The peer set selected is from a universe of companies based on S&P Capital IQ's Health Services industry classification. Where possible we include up to 30 peers in order to get a better statistical sample. For this analysis our peer set includes: Addus HomeCare Corporation (ADUS), Air Methods Corp. (AIRM), Alliance Healthcare Services, Inc. (AIQ), Almost Family Inc. (AFAM), Amedisys Inc. (AMED), AMN Healthcare Services Inc. (AHS), Bio-Reference Laboratories Inc. (BRLI), BioScrip Inc. (BIOS), Catamaran Corporation (CTRX), Chemed Corp. (CHE), CorVel Corporation (CRVL), Cross Country Healthcare, Inc. (CCRN), DaVita HealthCare Partners Inc. (DVA), ExamWorks Group, Inc. (EXAM), Express Scripts Holding company (ESRX), Gentiva Health Services Inc. (GTIV), Healthways Inc. (HWAY), IPC The Hospitalist company, Inc. (IPCM), Koninklijke Ahold N.V. (AH), Laboratory Corp. of America Holdings (LH), Landauer Inc. (LDR), LHC Group, Inc. (LHCG), MEDNAX, Inc. (MD), National Research Corp. (NRCI.B), Omnicare Inc. (OCR), Premier, Inc. , Providence Service Corp. (PRSC), Quest Diagnostics Inc. (DGX), and Team Health Holdings, Inc. (TMH). Although past performance is not always indicative of future performance, historical data can provide a good estimate of the range of possibilities. The ranges we use for our key drivers of Revenue Growth, Spread, NOPAT Margin and Capital Turns represents our 90% confidence interval. For each scenario of our valuation, a random value is generated for the drivers of our discounted Economic Value model (Figure 2). These random values are based on reasonable ranges derived from Trailing Twelve Month (TTM) 10-year historical distributions of company and peer data. While point estimates are often "precisely wrong," range estimates provide a more realistic view of market variability and have a greater chance of the actual outcome falling within the estimated range. Additionally, we scrutinize the inputs of our Monte Carlo simulation through our Economic Value calculation, where adjustments are made to accounting statements to more accurately reflect the economics of each driver. In some cases where our initial assumptions generate a valuation substantially different from the current trading price, we attempt to be conservative and create a margin of safety by taking a very optimistic outlook for a Short position or a very pessimistic outlook for a Long position. Since PINC has limited information regarding its historical performance, we offset this source of uncertainty by relying more heavily on peer data and by taking an exaggerated negative outlook. However, despite our cautious assumptions for the key drivers of our model, the company remains a clear Long (Figure 3). (Table 7) In our view, the range assumption of 3 to 7% for Revenue Growth is very conservative given the mean for the peer set was 20.1% and the median was 9.4%. The overall weighted average Revenue Growth rate for the peer set was 8.4% (all statistics based on 10 years of data). (Table 8) Again, our estimates of Spread exhibit a fairly pessimistic view given the mean for the peer set was 3.0% and the median was 2.5%. The overall weighted average Spread for the peer set was 2.8% (all statistics based on 10 years of data). We assumed that the Spread for the company would decay from its current rate of 27.1% to a perpetuity value ranging from 0 to 3%. Our range assumption for NOPAT Margin is also pessimistic given PINC's most recent performance of 20.9% (Table 9). We anticipated that NOPAT Margin would decay between 8.8 to 11.6%. Our range assumption for Capital Turns is again lower than recent performance of 1.71x (Table 10). We chose a range of 0.97 to 1.00x. PINC remains a Long despite an exaggerated pessimistic outlook. This outlook helped us to address possible risk factors, such as the company's corporate structure and short tenure as a publicly traded company. We gain further confidence in our Long position when we compare the company's competitive position to one of its peers. Although Market economics has worsened, PINC's competitive position signals a strong economic moat. In contrast, Quest Diagnostics Inc. has a weaker competitive position despite being a larger player. Lastly, when we look at other valuation methods, PINC clearly stands out as undervalued (Figure 5). By example, based on S&P Capital IQ calculations, the company is trading at an absurdly low 2.70x TEV/LTM EBITDA multiple. In contrast, even though PINC grew Revenue at 5.3% with a positive Spread of 27.1%, one of its closest peers, DGX, decreased Revenue by -3.2% and generated a negative Spread of -1.1%, yet trades at a TEV/LTM EBITDA multiple of 8.1x. As a final note, PINC generates strong cash flow and has approximately $233 million in cash (as of December 31st, 2013 Balance Sheet), giving it the financial flexibility to either grow extensively through profitable acquisitions or return cash back to shareholders. Either of these scenarios provides additional upside not accounted for in our very conservative outlook.
